1. Agreement to Terms
By accessing or using the services provided by The Simple Interface, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
The Simple Interface provides custom MVP development, fractional CTO services, and software consulting. The specific scope, deliverables, and timeline for each project will be defined in a separate agreement or statement of work.
3. Intellectual Property
Unless otherwise specified in a project agreement, upon full payment, clients receive ownership of the custom code and deliverables created specifically for their project. The Simple Interface retains ownership of any pre-existing tools, frameworks, or components used in development.
4. Payment Terms
Payment terms, including rates, schedules, and methods, will be specified in individual project agreements. Late payments may result in suspension of services or additional fees as outlined in the applicable agreement.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes but is not limited to business strategies, technical specifications, and user data.
6. Limitation of Liability
The Simple Interface shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
7. Termination
Either party may terminate the service relationship as specified in the applicable project agreement. Upon termination, the client shall pay for all services rendered up to the termination date.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of significant changes. Continued use of our services after such modifications constitutes acceptance of the updated terms.
